Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the https://www.ispsupplies.com website (the "Service") operated by ISP Supplies ("us", "we", or "our").  Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.  By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

ACCOUNTS

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.  You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.  You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. For new accounts, ISP Supplies requires a guaranty of payment of all purchase orders to be executed by one of the principals of your business.

LINKS TO OTHER WEBSITES / INFORMATION FROM OTHER WEBSITE

Our Service may contain links to third-party websites or services that are not owned or controlled by ISP Supplies.  ISP Supplies has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. You further acknowledge and agree that ISP Supplies shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.  We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit. 

TERMINATION

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.  All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.  We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.  Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service; However, the termination will not relieve you of any liability for outstanding purchase orders, or purchase orders that are currently being processed.  All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Texas, United States, without regard to its conflict of law provisions.  Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service. The exclusive jurisdiction and venue for any dispute arising between the parties shall be the federal and state courts governing Brazos County, Texas, United States of America. In the event that a dispute arises between the Parties that ends up in litigation, the prevailing Party shall be able to recover their attorney’s fees and court costs (including expert witness fees) from the other Party.

CHANGES

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

SHIPPING

ISP Supplies is not responsible for any lost, stolen or returned packages. This includes any lost shipping costs. If you encounter any issues, please contact the carrier.  Delivery cut-off time is 4PM Central Standard Time (CST). Shipping days fall on weekdays (Monday-Friday). Weekends and Public Holidays are excluded. Shipping & Processing Orders placed before 4 PM CST (GMAT-6) generally ship the same business day, subject to availability, inclement weather and Holidays. Only United Parcel Service (UPS) and FedEx applies for this and United States Postal Service (USPS) is excluded. If United States Postal Service (USPS) is selected for shipping, the order will usually ship out in 1 - 2 business days from the order being approved.

We can ship to virtually any address in the world. Note that there are restrictions on some products and some products cannot be shipped to international destinations. When you place an order, we will estimate shipping and delivery dates for you based on the availability of your items and the shipping options you choose. Depending on the shipping provider you choose, estimated shipping dates and delivery times may appear. These estimates are just that and are not guaranteed. 

ISP Supplies ships primarily by United Parcel Service (UPS) and FedEx in addition to United States Postal Service (USPS) and multiple carriers for freight shipments. Please also note that the shipping rates for many items we sell are not just weight-based, but also dimensions-based. This is required by the carriers. The weight and dimensions of any such item may be found on its detail page, if available. To reflect the policies of the shipping companies we use, all weights will be rounded up to the next full pound.

Special order items and some items sent directly from our suppliers may take 24-48 business hours to ship. Orders requiring assembly or international orders may not ship the same day.

International & Domestic USPS packages are not scanned/tracked by the US Post Office. Therefore, if USPS is chosen as a shipping method, ISP Supplies is not responsible for any lost, stolen or returned packages. This includes any lost shipping costs. 

Orders over 150 lbs ship by freight and we will contact you with shipping charges. We will contact you if any shipping issues or expected delays occur. Our shipping and processing charges are intended to compensate our company for processing your order, handling and packing the products you purchase, delivering them to you, and covering related overhead. Our staff always strives to provide the fastest and most reliable product delivery.

Your shipment status can be tracked directly from our website at www.ispsupplies.com by logging into your account. Please note that we occasionally ship from multiple warehouses and your order may arrive in multiple boxes and at different times. Your packing slip, included in the shipment, provides detailed information about your shipment contents. Your order confirmation, shipment notices and packing slips are emailed to the email account you left with us at the time when you placed your order and can also be retrieved by logging into your account. 

Delivery times to international locations vary, depending on the country. ISP Supplies reserves the right to bill you for additional handling fees imposed by UPS or DHL and incurred by ISP Supplies in conjunction with delivering the product to you. These additional handling fees include, but are not limited to: extended area surcharge, address change or correction while in-transit, oversize box surcharge, shipment intercept, hold for pickup at terminal, and other fees billed to ISP Supplies by a common carrier. Import duties and brokerage fees for international shipment are the sole responsibility of the customer.

ORDER ENTRY & SHIPPING ERRORS

We employ stringent processes to ensure the accuracy of your order but we also realize mistakes can happen.  When mistakes occur, we will make every effort to help you get the correct product to meet your goals.  However, we are not responsible for reimbursing you for lost time, lose of use, expedited shipping or any other costs above those we would incur for the original order.  All custoemrs will receive a copy of a sales order by email prior to us filling your order.  We request that you review the sales order to ensure product, price and delivery are correct before the order is shipped.

RMA/RETURN AUTHORIZATION

You can create an RMA for Ubiquiti Networks products by filling out the RMA form on their web site.

ISP Supplies stands behind our products that we offer and take pride in every package that we ship out to our customers.  In the case of product failure, loss, damage or if you are unhappy with your product in any way please contact us and let us know.

DAMAGE IN TRANSIT/ LOSS POLICY

All shipments should be physically inspected immediately upon receipt.  Do not accept visibly damaged packages unless the carrier notes the extent of the damage.  Please contact us within one business day of receipt to report the damages.  This will ensure the eligibility for credit from the freight carrier; failure to do so can result in refused replacement or compensation.

RETURNS FOR CREDIT

ISP Supplies will accept most new, unopened items within thirty days of delivery for a full refund.  To receive full credit, the item(s) must be returned unopened in new condition with all packing material, manuals and accessories.  Item(s) that are not returned in this condition are subject to a minimum restocking fee of 25% and ISP Supplies discretion.   This includes opened packaging, missing or used packing materials, missing or used accessories, writing, marking, labels or stickers to the product packaging or to the product itself.

FAILED ITEMS

If the item(s) you have purchased fails within the manufacture warranty period, please contact us for instructions.  Each manufacturer has different warranty policies.  If ISP Supplies handles the returns for the manufacturer you may follow the instructions below.

ADVANCED REPLACEMENT

ISP Supplies requires full payment for advance replacement item(s).  When the returned item(s) have been received and evaluated, we will refund the amount provided they are found to be defective.  If tested good and in working condition, the item(s) will be returned back to you.  

BEFORE RETURNING AN ITEM

MikroTik: Attempt a factory reset by holding the reset switch down for 10 seconds immediately after powering the device. Check routerboard.com for specific instructions for your particular device.

MikroTik: Attempt a NetInstall following the instructions on the MikroTik Wiki at http://wiki.mikrotik.com.

MikroTik: Make sure you are accessing the device from the non-PoE port. Many default configurations include firewalls that will make the unit invisible on the ether1 port for multi-port units.

Ubiquiti: After the unit is booted, hold down the reset switch for 10 seconds to reset it to factory defaults. Follow the manufacturer's instructions to reconfigure it.

BACKORDERS

BACKORDER

A backorder is an order that cannot be filled at this time, but is requested by a customer that is willing to wait until it becomes available.

BACKORDERED

Backordered inventory is inventory currently not in stock that is sold and will be delivered when it becomes available.

There may be delays for the backorder items due to unforeseen circumstances during the shipping process or inadequacies on the manufacturer’s side, etc.

If you order an item that is out of stock, we cannot guarantee an estimated time of shipment, delivery or availability.We will do our best to make sure you get your items in a reasonable timeframe. However, incoming inventory will be allocated in the order that we received the orders.

Please note that someone may have allocated inventory prior to you, and your order may not be fulfilled from the next shipment we get in of the item(s) you ordered. When placing an order that contains items that are in stock as well as items that are out of stock, the in-stock items will ship according to our standard shipping policy above times.

ACCOUNTING / PAYMENTS

CREDIT CARDS

ISP Supplies accepts American Express, Discover, Master Card and VISA. For first time customers, ISP Supplies cannot ship to an address that is different than the billing address. The shipping address has to match the billing address of the card being used and the Street Address, ZIP Code and CSC Number must match the card. Once the account has been established we will than be able to ship to different addresses for you.

ISP Supplies cannot accept credit card payments for international orders unless pre-approved. We can accept PayPal and Wire Transfers for international orders.

Please note that when you place an order with us using a credit card, a authorization will be posted to your account. Once the order has been shipped out the amount will then be charged. If your order is shipped out partial due to backorder items or is being shipped from different locations, we only charge you for what is shipped out. Once the items become available and shipped, the remaining balance for those items will then be charged to the card.

WIRE TRANSFER

ISP Supplies accepts wire transfers as a form of payment. Please note that the order will not be approved and released until the transfer is complete and the funds are in our account. Please contact us for instructions.  Wire fees are the responsibility of thesender, and may becollected in advance.

PAYPAL

ISP Supplies accepts PayPal and you may choose this payment method when you place your order online.

NET TERMS ACCOUNTS

ISP Supplies offers net terms to approved customers. Net term customers must keep their account in good standing or all shipments for the account will automatically cease until it is reconciled. A service charge of 1.5% per month (annual rate of 18%) may be charged on all invoices past due (with a minimum finance charge of $10 USD). For clarity, in good standing means that on a term account of net 30 days, ISP Supplies will receive payment in full within 30 days of the invoice date (the date of shipping from ISP Supplies) any payments received later than the stated terms would indicate a late payment and any balances on account past the term days are past due and the account is not in good standing. If your account repeatedly goes into bad standing, your account will lose terms and automatically revert to C.O.D.

An administrative charge in the amount of $50.00 USD may be levied for administration on account processing activities in connection with your account, including as a result of a) collection efforts due to non-payment, b) having a balance over your credit limit and c) returned or rejected payments due to non-sufficient funds (“NSF”) or returned for any other reason.

If payment is still not received for a further 30 days past the terms due date, the account will be turned over to collection agency for collection. The account holder will be liable for collection and/or incurred legal fees and cost. Any credit cards associated to the account may be used to satisfy any past due amounts without prior agreement.

All Net Terms customer must agree to the terms of our Master Purchase Agreement. If there is a credit card on file and the account becomes delinquent, we may charge the balance to all cards on file to get the account current. However, in the normal course of business NET TERMS ACCOUNTS MAY NOT BE PAID WITH A CREDIT CARD.
